Key Responsibilities
Legal Entity Management & Corporate Governance
- Handle requests for US legal entity support, including: completing ultimate beneficial owner (UBO) and know-your-customer (KYC) forms; providing guidance on signing authority questions; obtaining apostilles; notarization; and drafting incumbency and secretary’s certificates, cover letters, and/or other routine corporate documents
- Oversee US legal entity maintenance, including: reviewing required state-level filings (e.g., annual reports, qualifications, withdrawals); drafting resolutions, written consents, and officer certificates; onboarding and integrating newly acquired/created legal entities
- Maintaining filing deadline calendars and other resource documents for global legal department
- Oversee maintenance and updates of global legal entity database (CSC Navigator)
- Act as primary liaison with U.S. registered agent (i.e., Corporate Service Company)
Board and Stockholder Meetings
- Support drafting of corporate meeting materials, e.g., agendas, resolutions, written consents, and minutes
- Interface directly with senior level management and provide support for board meeting-related requests
- Manage collation and distribution of meeting materials for Board of Directors using BoardVantage
- Support preparation of proxy materials and coordination of vendors supporting proxy process (i.e., Broadridge, AST, printer) and logistics for Annual Shareholders’ Meeting.
Securities Law Compliance
- Handle technical preparation, formatting and filing of Form 8-Ks and the Proxy Statement
- Support Environmental, Social & Governance (ESG) Report and Proxy Statement process through project management, maintaining calendars, updating disclosure, and proofreading
- Conduct research on disclosure practices on platforms like Intelligize and/or EDGAR
- Manage due diligence production and virtual data rooms for capital markets transactions
Investor Relations
- Support Investor Relations through researching and monitoring voting policies and practices of institutional investors and maintain a master tracker of investor priorities and voting history
- Coordinate verification projects for ESG rating agency data
- Support coordination of compliance with various ESG disclosure frameworks
General Corporate
- Manage certain legal billing matters
- Support management of service of process
Qualifications & Skills
- Bachelor’s Degree required; certification from accredited paralegal program preferred;
- Bachelor’s Degree required; certification from accredited paralegal program preferred
- Minimum of six+ years of legal experience as a corporate paralegal with a large law firm or a mix of experience with a large law firm combined with in-house experience with a publicly traded corporation
- Strong organizational, planning, and project management skills and willingness to take ownership of special projects and drive them to successful completion
- Strong attention to detail and demonstrated ability to produce reliably error-free work product
- Ability to work simultaneously on multiple priorities and to properly prioritize among them
- Excellent interpersonal and communications skills, including ability to be professional, efficient, and thoughtful in both in-person settings and in written materials (emails, chats, written work product)
- Ability to engage in professional manner with senior level management of large, publicly-traded company
- Demonstrated ability to work efficiently and with a high energy level in a fast-paced environment
- Ability to work independently, including spotting and resolving unexpected issues
- Ability to establish and maintain effective working relationships with coworkers, managers and third party vendors
- Excellent skills using MS Office Suite: MS Excel, MS Word, MS PowerPoint; experience with MS Teams, legal entity management software (e.g., CSC Navigator), legal billing software (e.g., Counsel Link) preferred; experience with MS SharePoint, BoardVantage, Wdesk (Workiva), and Intelligize a plus

The potential base pay range for this role, when annualized, is $95,600.00 – $157,800.00. The actual base pay offered may vary based on a number of factors including job-related qualifications such as knowledge, skills, education, and experience; location; and/or schedule (full or part-time). Dependent on the position offered, incentive plans, bonuses, and/or other forms of compensation may be offered, in addition to a range of health and welfare and/or other benefits.
